1. Acceptance of these Terms

By accepting a facility invitation, creating an account, or otherwise using the F360 Admin Central Facility360 platform (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

2. The Service

Facility360 enables healthcare facilities in Kenya to invite staff to receive schedules, announcements and task notifications, and to manage facility operations. We may add, update, suspend or discontinue features from time to time to improve or secure the Service.

3. Your account and responsibilities

When you are invited and create an account, you agree to:

• Keep your login credentials confidential and your contact details accurate;
• Use the Service only for lawful, work-related purposes connected to your facility;
• Not share your access, attempt to bypass security controls, or misuse invite codes;
• Take responsibility for activity carried out under your account.

4. Acceptable use

You must not use the Service to upload unlawful, harmful or infringing content, to interfere with other users, or to disrupt the integrity, performance or security of the platform. We may suspend or terminate access that breaches these Terms.

5. Data protection and privacy

Your personal data is collected and processed in accordance with our Privacy Policy, issued under Kenya's Data Protection Act, 2019. The Privacy Policy forms part of these Terms and should be read alongside them.

6. Intellectual property

The Service, including its software, design and content (excluding your facility's own data), is owned by us or our licensors and is protected by applicable law. These Terms do not grant you any ownership of the Service.

7. Availability and liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss arising from your use of, or inability to use, the Service.

8. Changes and termination

We may update these Terms to reflect changes in law or our practices; the effective year above indicates the current version. Your access to the Service may be terminated by your facility or by us in line with your employment relationship or a breach of these Terms.

9. Governing law

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the Kenyan courts.
